OKEA ASA – Extension of bookbuilding and application period

Trondheim, 6 June 2019. Reference is made to the announcement of the terms for OKEA ASA’s (“OKEA” or the “Company”) contemplated initial public offering (the “Offering” or the “IPO”) published on 24 May 2019 and to the announcement of the commencement of the bookbuilding and application period published on 28 May 2019.
Since 24 May 2019, OKEA’s management has carried out an extensive roadshow, meeting with institutional and private investors. While OKEA’s strategy and solid position on the NCS has been widely endorsed by the investor community, the bookbuilding period has coincided with severe volatility and a strong downward spike in the oil price.
Despite the recent volatility in the oil price, OKEA has received good subscriptions for shares within the indicative price range in the Offering, however not sufficient to complete the Offering. In addition, OKEA has received substantial indications of interest below the indicative price range from large institutional anchor investors.
On the basis of the above, OKEA will explore the potential to complete the Offering on revised terms, including a potentially lower price range, and has decided to extend the application period and bookbuilding period to 13 June 2019 at, respectively, 12:00 hours and 15:00 hours (CET) (subject to shortening or extension as set out in the Prospectus). The other dates for payment, delivery and first day of trading will be adjusted accordingly. Further details will be provided in due course, pursuant to the procedures set out in the Prospectus.
No secondary sale of shares
The Selling Shareholders have confirmed to the Company and the Managers that they will not sell any Sale Shares in the Offering.
Additional insider application for shares
- Erik Haugane (co-founder and CEO) has applied for 200,000 Offer Shares.
- Anton Tronstad (co-founder and SVP Projects and Technology) has applied for 200,000 Offer Shares.
- Knut Evensen (co-founder and SVP Finance and IR) has applied for Offer Shares for an amount of NOK 150,000.
- Ola Borten Moe (co-founder and SVP Business Development) has applied for Offer Shares for an amount of NOK 150,000.
- Finn Haugan (board member) has applied for Offer Shares for an amount of NOK 300,000.
- Frank Stensland (board member, employee representative) has increased his application of Offer Shares to an amount of NOK 200,000.
The applications have been made in accordance with the terms and conditions for the Offering described in the prospectus for the Offering dated 27 May 2019 (the “Prospectus”).
