Oslo, 18 June 2019. Reference is made to the stock exchange announcement on 17 June 2019 by OKEA ASA (“OKEA” or the “Company”) regarding the successful completion of its initial public offering (the “IPO”).
Pareto Securities AS (the “Stabilisation Manager”) may, on behalf of the Managers (as defined below), engage in stabilisation activities from today, 18 June 2019, to and including 17 July 2019 (the “Stabilisation Period”). Any stabilisation transactions will be aimed to support the market price of the shares of OKEA.
The Stabilisation Manager (or persons acting on behalf of the Stabilisation Manager) may effect transactions to stabilise or maintain the price of the shares of OKEA at a level higher than that which might otherwise prevail, by buying shares in OKEA or associated instruments in the open market at prices equal to or lower than (but not above) NOK 21 per share. However, there is no obligation on the Stabilisation Manager (or persons acting on behalf of the Stabilisation Manager) to do so. Moreover, there is no assurance that the Stabilisation Manager (or persons acting on behalf of the Stabilisation Manager) will undertake stabilisation activities. If stabilisation activities are undertaken, they may be discontinued at any time, and must be brought to an end upon or before the expiry of the Stabilisation Period.
Within one week after the end of the Stabilisation Period, the Stabilisation Manager will publish a statement through the information system of Oslo Børs under the Company’s ticker (OKEA) with information as to whether or not any stabilisation activities have been undertaken, including the total amount of shares sold and purchased, the date at which stabilisation begun, the date at which stabilisation last occurred, the price range in which stabilisation was carried out for each of the dates stabilisation transactions were carried out.
Any stabilisation activities will be conducted in accordance with section 3-12 of the Norwegian Securities Trading Act and Commission Regulation (EC) No. 2273/2003 implementing Directive 2003/6/EC of the European Parliament and of the Council regarding buy-back programs and stabilisation of financial instruments.
In order to facilitate for potential price stabilisation activities, Okea Holdings Ltd. and BCPR Pte. Ltd. have granted the Stabilisation Manager, on behalf of the Managers, an option to purchase an aggregate of up to 2,250,000 existing shares at the end of the stabilisation period. Pareto Securities AS, Skandinaviska Enskilda Banken AB (publ.), Oslo Branch and SpareBank 1 Markets AS are acting as Joint Global Coordinators and Joint Bookrunners in the IPO (collectively, the “Managers”).
